Terms of Service

1. Acceptance of Terms

By accessing or using the Arcline platform and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a school district or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Arcline is an AI-powered data analytics platform built for K-12 school districts. The Service integrates with Student Information Systems, assessment platforms, and other data sources to provide unified analytics, reporting, and insights to authorized district personnel. The specific features and functionality available may vary based on the subscription plan and district agreement.

3. Account Registration

Access to the Service is limited to authorized personnel of school districts that have entered into a service agreement with Arcline. Each user account must be associated with a valid district affiliation. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify Arcline immediately of any unauthorized use of your account or any other breach of security. Arcline will not be liable for any loss arising from unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Access or attempt to access the Service by any means other than the interfaces provided by Arcline
  • Use the Service to store or transmit any content that is unlawful, harmful, or infringes on the rights of others
  • Use the Service in any manner that could harm students or compromise student data
  • Share account credentials with unauthorized individuals or allow unauthorized access to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means to access the Service except through Arcline-provided APIs

5. Data Ownership

School districts retain full ownership of all data they submit to or generate through the Service (“Customer Data”), including all student records, educational data, and district information. Arcline does not claim ownership of Customer Data.

By using the Service, the district grants Arcline a limited, non-exclusive license to process Customer Data solely for the purpose of providing and improving the Service in accordance with the district's instructions and the applicable service agreement. This license terminates upon termination of the service agreement.

6. Intellectual Property

Arcline and its licensors retain all right, title, and interest in and to the Service, including all software, algorithms, models, user interfaces, designs, and documentation (collectively, “Arcline IP”). These Terms do not grant the district any rights to Arcline IP except the limited right to use the Service during the term of the agreement.

The district retains all rights to its Customer Data. Nothing in these Terms transfers ownership of Customer Data to Arcline.

7. Confidentiality

Each party agrees to protect the confidential information of the other party using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information includes, without limitation, Customer Data, business plans, pricing, technical specifications, and any information designated as confidential.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is rightfully obtained from a third party without restriction; or (d) is independently developed without use of the disclosing party's confidential information.

8. Service Availability

Arcline will use commercially reasonable efforts to maintain the availability of the Service with a target uptime of 99.9%, measured on a monthly basis, excluding scheduled maintenance. Arcline will provide reasonable advance notice of scheduled maintenance that may affect Service availability.

Arcline is not liable for any downtime or performance degradation resulting from circumstances beyond our reasonable control, including, but not limited to, acts of God, network or power failures, or actions by third-party service providers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARCLINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

ARCLINE'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY THE DISTRICT TO ARCLINE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate the service agreement by providing 30 days' written notice to the other party. Arcline may also suspend or terminate access immediately if the district materially breaches these Terms and fails to cure the breach within 15 days of written notice.

Upon termination, the district may request export of its Customer Data in a standard machine-readable format. Arcline will make Customer Data available for export for 60 days following termination. After the 60-day period, Arcline will delete all Customer Data in accordance with our data retention policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms shall be resolved in the state or federal courts located in Travis County, Texas, and each party consents to the exclusive jurisdiction of such courts.
